    Goldgroup Enters Into Agreement To Sell Subsidiary Minera Apolo, S.A. de C.V., Disposing of Pinos Project

    Goldgroup announces that, subject to the final approval of the TSX Venture Exchange (the “TSXV“), it has entered into an agreement with a private arm’s length British Columbia company under which it has agreed to sell all of the issued and outstanding Class “A” shares and Class “B” common shares in the capital (collectively the “Apolo Shares“) of Minera Apolo, S.A. de C.V. (“Apolo“), which owns all the issued and outstanding shares of Minera Catanava, S.A. de C.V. (“MC“). Apolo and MC collectively hold a 100% interest in the Pinos gold/silver project (“Pinos“) located in Zacatecas State, the second largest mining state in Mexico. Pinos comprises 30 contiguous mining concessions over 3,816 hectares. The sale of Apolo is an Arm’s Length Transaction and there are no finder’s fees payable.

    Under the terms of the Share Purchase Agreement, Goldgroup has agreed to sell all the Apolo Shares to a private arm’s length British Columbia company (the “Purchaser“) in consideration of the payment to Goldgroup of US$5,000,000 in stages, with US$2,450,000 deposit payable on signing which will be refunded if the transaction does not close by February 16, 2026, US$550,000 to be paid on closing and US$2,000,000 to be secured by a Promissory Note and paid on or before the date that is six (6) months from the Closing Date. Further, the Purchaser has agreed to assume any and all liabilities of Goldgroup associated with Apolo, MC and the Pinos project, including the assumption of US$400,000 remaining payable on the original purchase agreement in addition to debt in the amount of US$1,500,000 payable to the previous owners of Apolo that will be triggered by the sale of Apolo. Goldgroup, the Purchaser and the previous owners of Apolo have also agreed to enter an Assumption and Acknowledgement Agreement under which the previous owners acknowledge and agree that they will have no further recourse against Goldgroup for any liabilities related to Apolo, MC and the Pinos project, all of which have been assumed by the Purchaser.

    Further to the Company’s news release dated September 18, 2025, Goldgroup is pleased to announce that, subject to the final approval of the TSX Venture Exchange (the “TSXV“), it has acquired all of the issued and outstanding Series “A” shares in the fixed capital and all the issued and outstanding Series “B” shares in the variable capital (collectively the “Molimentales Shares“) of Molimentales del Noroeste, S.A. de C.V. (“Molimentales“) through a Concurso Mercantil process (restructuring proceeding equivalent to Chapter 11 in the United States). Goldgroup has received approval from the Second District Court for Commercial Bankruptcy Matters (the “MexicanCourt“) to the plan of arrangement (the “Plan of Arrangement“) the Company filed with the Mexican Court under the Concurso Mercantil process. The judgement issued by the Mexican Court in favour of Goldgroup’s Plan of Arrangement completes the bankruptcy and restructuring of Molimentales.     Goldgroup filed a proposal under the Concurso Mercantil process to acquire Molimentales under the Plan of Arrangement with the liquidator (the “Liquidator“) appointed by the Mexican Court to oversee Molimentales’ bankruptcy proceedings. The Plan of Arrangement was approved by over 50% of the recognized creditors of Molimentales as required under Mexican law, recommended by the Liquidator and subsequently filed with the Mexican Court for approval. The Mexican Court approved the Plan of Arrangement by judgement issued effective December 23rd, 2025.     The San Francisco Mine, historically one of the significant gold producers in Sonora, Mexico, has substantial existing infrastructure and potential for future exploration, development, expansion and production.     The San Francisco Mine is a large-scale, formerly producing open pit gold mine. The deposits strike 60º to 65º west, dip to the northeast, range in thickness from 4 to 50 m, extend over 1,500 m along strike and are open ended. Another deposit, the La Chicharra zone, was mined by the former owner as a separate pit.

    The most recent resource estimate from a historic NI 43-101 technical report prepared by Micon International Limited dated August 8, 2020, estimated 1,430 Koz Au M&I @ 0.446 g/t (Measured 34,675 KTonnes containing 515K oz Au at 0.46 g/t and Indicated 65,025 Ktonnes containing 914K oz at 0.45 g/t.) Production records show that the Aug 8, 2020 quoted historical resources has been depleted with mining by approximately -119,589 Au ounces. The Company is not treating the information from the Micon report as a current resource for the Company. Although the Company believes such information to be relevant and reliable, the Company is treating the information as historical.

The report is entitled “Cerro Prieto Project, Heap Leach Project, Magdalena de Kino, State of Sonora, Mexico” with an effective date of April 4, 2025 (referred to herein as the “Report”). The Report, prepared by Rodrigo R Carneiro MSc, QP, SME Registered Member, José Antonio Olmedo MSc, P. Eng. Geo, QP, SME Registered Member and Cristian Garcia, P. Eng., QP, Registered at Engineers and Geoscientists of British Columbia and independent of the Company. The Report is available for viewing on Sedar+.

    The Report provides independent assessment of the Mineral Resources Estimates of the Esperanzas Deposit within the Cerro Prieto Mine, which includes the La Esperanza and Nueva Esperanza contiguous zones. The Company owns 100% of the 6,980 hectares of mining concessions and has been in production since 2013. Approximately 136,000 ounces of gold have been produced over 11 years up to Sept 30, 2025.
